Master Hospitality Services Agreement

Terms of Service & SLA Architecture

Effective Date: January 1, 2025 • Institutional Edition v4.12

1. Tenancy Provisioning & Account Scope

By registering for an Operator account or deploying the Grandeur Royal Platform Website, Desktop PMS Client, or Headless APIs, you enter into a binding Master Services Agreement with Grandeur Royal Technologies Inc. Each registered hotel property receives an isolated cryptographic workspace governed exclusively by designated Master Operators.

2. Multi-Property Licensing & Key Quotas

Licenses are structured on a monthly or annual subscription based on the licensed room/key capacity of each property. Hoteliers retain sovereign right to reallocate keys across seasonal chalets, villas, or temporary pavilions within their licensed tier limit without punitive reconfiguration penalties.

3. Sovereign Uptime SLA (99.99% Cloud & 100% Offline)

Grandeur Royal commits to a 99.99% monthly availability SLA for all Cloud REST API endpoints and global Anycast direct booking CDN clusters. Furthermore, our offline-first desktop and tablet architecture guarantees 100% operational continuity: in the event of external fiber optic cuts or cloud unreachable events, all local check-in, keycard issuing, and POS billing remain functional without service interruptions.

4. Direct Booking Settlement & Zero OTA Tolls

Grandeur Royal charges zero percentage commissions on reservations generated through the operator's direct booking engine. All guest funds settle directly into the hotel's verified merchant acquiring account (e.g. Stripe, Adyen) without escrow delays or third-party holding accounts.

5. Intellectual Property & Customer Ownership

Operators retain 100% unencumbered ownership of all guest records, rate schedules, culinary menus, property imagery, and operational telemetry. Grandeur Royal claims no intellectual property rights or rights to commercialize customer data.

6. Security & Audit Rights

We maintain SOC 2 Type II, ISO 27001, and PCI-DSS Level 1 compliance. Enterprise operators maintain the right to inspect annual third-party penetration testing summaries and review SOC 2 Type II attestation letters under mutual non-disclosure agreement.

7. Payment Terms & Enterprise Invoicing

Subscription fees are billed in advance on an annual or monthly cadence in USD, EUR, CHF, or GBP. Enterprise tier subscriptions are eligible for electronic wire transfer (SEPA / Fedwire) with Net-30 payment terms.

8. Warranties & Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages. Grandeur Royal's aggregate liability under any calendar year shall not exceed the total fees paid by the customer during the twelve (12) months preceding the claim.

9. Term, Data Portability & Clean Exit

We reject vendor lock-in. Customers may export their entire relational database (reservations, guest profiles, financial folios) in standardized JSON and CSV formats at any time. Upon termination, we provide 30 calendar days of read-only access for final migration extraction.

10. Governing Law & Sovereign Arbitration

This Agreement shall be governed by the laws of Switzerland, without regard to conflicts of law principles. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the International Chamber of Commerce (ICC) arbitration in Zurich.
